This Partner Terms & Conditions Agreement (“Agreement”) is made between Adventour Global Pte Ltd (“Adventour Global”) and the Partner (“Partner”), which includes Tour Operators and Travel Agents who list and provide tours on the Adventour Global platform.

By checking the acceptance box and submitting tour details, the Partner agrees to be bound by the terms and conditions outlined in this Agreement.

1. Partnership Scope

Adventour Global partners with Tour Operators and Travel Agents on a commission-based arrangement to offer tours on its platform.

2. Commission and Payment

Adventour Global collects payments from customers.
Partner commissions are paid fortnightly, subject to a 2% service fee covering bank transaction costs.
Adventour Global reserves the right to withhold payments under certain conditions (see Clause 17).

3. Payment Withholding

Adventour Global may withhold payments due to:
– Breach of terms by the Partner
– Customer complaints or refund requests
– Non-performance or cancellation by the Partner
– Pending investigations of partner conduct
Payments will be released once issues are resolved.

4. Service Delivery

Partners are fully responsible for delivering the tour services as described, ensuring professional, timely, and safe execution. Adventour Global is not liable for the quality or delivery of the tours.

5. Cancellations and Refunds

No cancellations are allowed once a booking is confirmed.
Refund liability for any customer compensation lies with the Partner.
If a Partner cancels a tour and informs Adventour Global prior, Adventour Global will refund the customer fully. The Partner is liable for bank fees and a $50 processing fee.
There is no specific notice period required for partner cancellations.
In case of customer no-shows, the Partner is not liable.

6. Force Majeure

Customers may cancel bookings if a Force Majeure event occurs at the destination.
If either party cancels due to Force Majeure, Adventour Global will issue a full refund to the customer.
Partners must promptly notify Adventour Global of any Force Majeure event.
Neither party is liable for non-performance caused by Force Majeure.

7. Partner Requirements and Verification

Partners must submit business registration and tour licensing for verification before listing tours.
High-risk tours must include valid local insurance unless specified clearly in the tour package that the customer is responsible for their own insurance.
Partners must fulfill offerings as advertised unless disrupted by agreed Force Majeure conditions.

8. Product Offering

Partners must provide accurate, detailed, and up-to-date tour information and block unavailable dates in the booking calendar.

9. Pricing and Price Changes

Partners must offer retail prices on Adventour Global that are the same, lower, or competitive with other channels, considering the 25% commission.
Partners must notify Adventour Global prior to any pricing changes, providing valid reasons via clear email communication. Adventour Global may require a new tour submission or update the system accordingly.

10. Marketing Materials and Branding

Partners must support Adventour Global’s marketing efforts by providing photos, videos, and permissions.
Adventour Global has the right to use partner-provided marketing materials for promotional purposes.
Partners are prohibited from using Adventour Global’s marketing materials in any way that may confuse customers or undermine marketing efforts.

11. Customer Communication

Partners must contact customers within 24 hours of booking confirmation via email or WhatsApp (if provided).
Communication should include booking acknowledgment, pre-tour instructions, meeting logistics, and contact information.
Customers must present valid proof of purchase (email confirmation or electronic receipt) on-site; Partners shall verify this before tour participation.
Partners must respond to customer inquiries within 24 hours, or within 2 hours for same-day issues.
Partners must cooperate with Adventour Global to resolve disputes and complaints promptly.
Customer data obtained via Adventour Global must not be used for unrelated marketing.

12. Guide Conduct

Tour guides representing the Partner must act professionally, arrive punctually, provide accurate information, ensure safety, dress appropriately, and comply with local laws and cultural sensitivities.

13. Post-Tour Reviews

All customer reviews shall be collected, published, and managed exclusively through Adventour Global’s platform. Partners shall not solicit or manipulate reviews outside the platform.

14. Liability and Indemnity

Partners indemnify Adventour Global against claims arising from their services, negligence, or breach of contract.
Adventour Global’s liability is limited to the extent permitted by law.

15. Insurance

Partners must maintain necessary insurance coverage including liability and accident insurance.
For high-risk tours, proof of valid local insurance covering customers and staff is required.
If customers are responsible for their own insurance, this must be clearly stated in the tour description.

16. Taxes

Adventour Global is responsible for its own Singaporean local taxes. Partners are responsible for their own taxes and legal compliance in their jurisdictions.

17. Data Protection

Adventour Global complies with Singapore’s PDPA.
Partners must handle customer data in compliance with applicable laws and Adventour Global’s Data Privacy Policy.
Partners must implement safeguards to protect personal data.
Partners must notify Adventour Global within 72 hours of any data breach and cooperate in mitigation.
Non-compliance may lead to suspension or termination.

18. Non-Exclusive Partnership

The partnership is non-exclusive; both parties may work with others freely.
Neither party will interfere with third-party relationships.
Partners must keep sensitive commercial information confidential.
Partners agree not to promote directly competing tours in key markets as reasonably communicated.
Adventour Global may prioritize listings based on performance and compliance.
Partners commit to cooperating with marketing and customer service policies.

19. Disclosure

Partners must provide accurate, complete disclosures about their business and offerings.
Any material changes must be promptly communicated.
Adventour Global may request supporting documents at any time.
Partners are liable for supporting customers with emergencies or health issues during tours.

22. Disclaimer

Adventour Global acts solely as a booking platform and disclaims liability for tours.
The platform does not guarantee uninterrupted access and is not responsible for third-party content.
Partners indemnify Adventour Global against claims related to their services.

24. Conclusion and Acceptance

This Agreement constitutes the entire understanding between Adventour Global and the Partner regarding their partnership. By accepting these Terms & Conditions and submitting tour details through the Adventour Global platform, the Partner agrees to comply with all the provisions outlined herein.
Any amendments or modifications to this Agreement must be made in writing and agreed upon by both parties.
Failure to comply with these Terms & Conditions may result in suspension or termination of the partnership.
